Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Neklinx mobile application and associated web services (the "Service"), operated by NexLink Technologies Inc. ("Neklinx", "we", "us", "our"), a federal corporation incorporated in Canada. By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement of a parent or legal guardian.

2. The Service

Neklinx provides smart-locker access, booking, and loyalty infrastructure across multiple service categories (including laundry, dry cleaning, gym, spa, coworking, hostel, mall, airport, pharmacy, hospital, campus, and key-box use cases), depending on what a given partner site offers. Some verticals operate on an "inverted flow" basis, where a site operator deposits an item and you only retrieve it — for these verticals, Neklinx acts solely as an activity and access manager and does not process payment or hold funds in escrow on your behalf.

3. Accounts

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You agree to provide accurate information when creating an account.
• We may suspend or terminate accounts that violate these Terms, engage in fraud, or misuse the Service (including tampering with lockers or attempting to bypass payment).

4. Bookings and Payments

• Where payment is required, it is processed through third-party providers (Stripe or NOWPayments). Neklinx does not store your full card or payment credentials.
• Prices, fees, and available time windows are displayed in the app before you confirm a booking.
• Failure to pick up or check in within the stated window may result in cancellation of the booking, forfeiture of any applicable hold, and/or a self-service basket being auto-cancelled per site policy.

5. Loyalty Points (NXL)

NXL points are a loyalty rewards mechanism earned through use of the Service. NXL points have no cash value, are not a security or investment, cannot be transferred for value outside the app's referral/redeem features, and may be adjusted, capped, or discontinued at our discretion with notice where required by law. Any future migration of the underlying token (including a change of network or ticker) does not affect points already earned, which will be honored under the terms in effect at the time they were earned.

6. Operator and Partner Sites

Some locker sites are owned or operated by third-party partners ("Operators"). Neklinx provides the technology platform; Operators are responsible for the physical condition, safety, and staffing of their sites. Neklinx is not liable for the acts or omissions of independent Operators, except as required by applicable law.

7. Prohibited Uses

You agree not to: (a) use the Service for unlawful purposes; (b) attempt to access another user's booking or locker; (c) tamper with, damage, or attempt to bypass locker hardware or software; (d) reverse-engineer, decompile, or scrape the Service; (e) use the Service to store or transport illegal items.

8. Intellectual Property

The Neklinx name, logo, source code, technical architecture, and all content on the Service are the exclusive property of NexLink Technologies Inc. and are protected by applicable intellectual property laws. No license is granted except the limited right to use the Service as intended.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation of locker hardware, network connectivity, or third-party payment processors.

10. Limitation of Liability

To the fullest extent permitted by law, NexLink Technologies Inc. shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us, if any, in the three months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Quebec, Canada, unless mandatory local consumer protection law in your jurisdiction requires otherwise.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms. See our Account & Data Deletion page to request deletion of your account and data.
